You, your, yours = your company
2.1 By signing document "3.1 Acceptance of deposit" in our production documents pack. You are entering into a contract with us and agree to be bound by our terms and conditions
2.2 Cancellation: Should you decide to cancel at any point before the completion of your project, you will be billed for the work that has taken place, including time spent in meetings.
3.1 We hold copyright for any materials we create until you have paid our final invoice in full. At this point, copyright will belong to you, with the following conditions: The material must only be used for the purpose for which it was designed. We reserve the right to any material we create for the purpose of demonstration and portfolio. Source code files (.fla, .png, . ai, psd) will not be released to you. We can negotiate a price, should you need them.
3.2 Any materials supplied in our proposals are our copyright, including:
4.1 If you take hosting with us, we will be responsible for ensuring that your web site is available over the internet.
4.2 From time to time, as with all servers, our server tends to crash. This is infrequent, but can be inconvenient to clients.
4.3 Should your web site not be available, we will endeavour to restore normal service as quickly as possible. Our normal working hours are Monday to Friday, 9.00am to 5.00pm. Should your web site not be available outside of our normal working hours, we will still aim to restore service as soon as possible but this will depend on the availability of our programmer.
4.4 We will not be held responsible for any loss of business due to your web site not being available at any time.
4.5 We will not be held responsible for any future loss of business due to your web site not being available at any time.
4.6 Our normal contract for hosting is for 1 year. If you want to move your hosting, you need to give us a notice period of 1 month. Web site files can be supplied on disc for a fee of £100.
As part of our production process, we will agree a deadline with you. We will also set a deadline for any requirements we have of you. Should you not meet your deadline for content, we will no longer be able to meet our deadline for supply of your project. We may have commitments to other clients, so for every 1 day late content is supplied to us, we will move our deadline back 2 days. We will not be held responsible for any loss of business or future business from your project being ready in time due to content being supplied late to us.
6.1 We will honour quotations for a period of 3 months, after that time we reserve the right to re-quote.
6.2 After starting a project, if you delay the project for a period of more than 3 months, we reserve the right to re-quote.
7.1 Our normal payment terms are 30 days from the date of invoice, except our initial 30% fee which is payable on signing our form "3.1 Acceptance of deposit".
7.2 We reserve the right to remove web sites from service if payment is not made within 30 days of our final invoice. When this occurs, you will be charged £50 to reinstate your web site.
a. We will not be held responsible for any loss of business due to your site being removed from service.
b. We will not be held responsible for any future loss of business due to your site being removed from service.
7.3 Bills not paid within 7 days of our final reminder will incur a late payment fee of 10% of the amount outstanding. You will also be charged statutory interest of 8% above the reference rate (fixed for a rate of not more than 6 months from when the payment became overdue), pursuant to the late payment legislation.
8.1 Your web site will be fully functioning at the time of going live.
8.2 We will repair any malfunctions which occur with your web site within a period of 30 days, free-of-charge. After this period, any work carried out will be chargeable either as one-off quoted tasks or as part of maintenance contract.
We operate a system of best practice for achieving search engine rankings for the web sites we produce. Whilst we fully understand the requirements for achieving these rankings, we will in no way guarantee and level of success.

We will fix any problems with web sites not functioning as intended in any of the browsers listed above, free-of-charge. We will not be responsible for web sites not functioning correctly in, not-yet-released versions of existing browsers or new browsers.
